These Terms of use (hereinafter also referred to as the “Agreement”) governs the relationship between the Company and Users related to the use of the Company’s projects, including, but not limited to, the Game and the Website.

By continuing to use the Website, Game or other Company’s projects, you as a User:

- confirm that you have read, understood and unconditionally accepted the terms of these Terms of use, as well as the terms of other rules (as defined below), and guarantee that you will comply with them when using the Company’s projects;

- acknowledge and agree that you have independently assessed the need to use the Company’s projects and do not rely on any representations, warranties or statements other than those expressly set forth in these Terms of use;

- you represent and warrant that you can legally enter into contracts and make transactions (for example, the User has reached the age of legal capacity provided for by applicable law). If the User is a minor, such User must familiarize himself with these Terms of use with the help of his parents/legal representatives. The Company recommends parents or legal representatives to monitor the online activities of their children. To protect the privacy of children, the Company advises parents or legal representatives to ensure that their children never disclose their personal data without the prior consent of their parents or legal representatives. The Company reserves the right to restrict access to certain services depending on age and may allow minors to register in some services only with the written consent of parents/legal representatives. The Company reserves the right to request written evidence of parental/legal representative consent in relation to any User or potential User regarding whom there are suspicions. that he/she may be a minor. In all cases, the use of Company projects by minors must be under the responsibility of their parents or legal representatives, and any use of the projects is assumed to have been approved by them.

Otherwise, the use of this Website and the Company's Projects is prohibited.

Terms used in this Agreement

Portal ‘Broken Sun’ means an online platform located on the Website, which provides Users with access to the Game and the Company’s projects, as well as any other related services provided by the Company on the basis of the conditions set forth in these Terms of use and other rules and agreements.

Game ‘Broken Sun’ means a computer program available for personal computers (PCs) and mobile devices.

Account means the User’s personal account in the Company’s projects.

Company’s Projects mean individual projects of the Company listed on the Website, through which the Company offers Users additional services aimed at popularizing the Game.

Rules mean agreements and rules associated with the relevant Game and/or project of the Company, such as the Forum Rules and the Game Rules, and also, to the extent applicable: separate license agreements, user agreements, policies and other documents available on the Website.

User means an individual who has reached the age that allows, in accordance with applicable law, to bear full responsibility for his own actions (a fully capable person) and to use the Company’s projects, and also meets all the criteria listed in these Terms of use, or, if The User is a minor, meets all special criteria listed in these Terms of use, and has all necessary consents specified in these Terms of use.

User Content means any comments, text or voice messages, photographs, graphics, videos, sounds, musical works and other materials, data and information, as well as links to them, uploaded, transmitted, published or otherwise distributed by the User to other Users and/or the Company while using the Portal ‘Broken Sun’ (except for the User’s personal data, which is subject to the Company’s Privacy Policy).

Inappropriate Content means any type of content or behavior in the use of the Website, the Game and the Company's projects that is either illegal or unacceptable in accordance with generally accepted moral standards, including, but not limited to, the following examples:

(i) engaging in or facilitating any illegal activity or activity that violates the rights of others;

(ii) content that is or could reasonably be perceived to be unlawful, harmful, offensive, defamatory, libelous, obscene or otherwise objectionable or inappropriate;

(iii) providing information that is false, misleading or inaccurate;

(iv) disclosure of any personal or private information of another User or any other person, or other invasion of another person's privacy;

(v) to abuse, harass, stalk, threaten, expose or intimidate any person or entity;

(vi) profanity or use of derogatory, discriminatory, hateful or excessively graphic language;

(vii) any content that may be harmful to minors;

(viii) disseminating or promoting hatred, intolerance, discrimination, harm, racial or ethnic hatred, violence, crime or war;

(ix) offensive, vulgar, sexually explicit or pornographic content;

(x) promoting the use of alcohol, tobacco or any narcotic or prohibited substances, or the use of firearms;

(xi) transmitting software viruses, worms or any other type of malicious software;

(xii) unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of unsolicited advertising;

(xiii) hacking;

(xiv) violation of any intellectual property rights or illegal provision/disclosure of information (insider information, confidential information, other proprietary or legally protected information);

(xv) any content that has an ambiguous connotation may be perceived negatively or cause a hostile attitude towards the Company, other Users and/or third parties, create an unfriendly atmosphere among Users, and also lead to disputes and conflicts between Users;

(xvi) any content that has received justified, in the opinion of the Company, complaints from other Users;

(xvii) other inappropriate content or behavior.

Account registration

Account registration procedure

In order to use the Portal ‘Broken Sun’, the User must create an Account by following the instructions on the Website and, in particular, complete the registration form or create an Account using their social network account.

When registering an Account, the User may fill out the registration form with data that he considers sufficient to identify himself on the Portal ‘Broken Sun’ as a unique User, with the exception of the mandatory fields of the registration form, the completion of which is mandatory for the User to use the Website.

The Company may acknowledge receipt of the User's online application to create an Account electronically to the email address or via SMS to the phone number (if applicable) provided by the User (this does not apply to an Account created by the User using his account on a social network). Users warrant that all information provided is accurate and current. Users agree to update this information in their account immediately after it changes so that it always meets these criteria.

The Company reserves the right to change and supplement the methods for creating an Account.

Users are informed and agree that the information provided when opening their Account is assumed to identify them.

Users agree to use the Portal ‘Broken Sun’ for personal use only and to refrain from allowing any third party to use them unless they accept all consequences of doing so.

User login and password

By filling out the registration form, the User independently creates a login and password for further access to the Website.

The User confirms that he has been informed that the security of his Account directly depends on the complexity (number and variation of characters) of the password and other data that allows the User to access his Account. The user is advised to create a fairly complex password to avoid the possibility of security breaches by third parties.

Users must also keep their username and password confidential. Users are required to contact the Company as soon as they become aware that their Account has been used by someone without their consent. Users agree that the Company may take any appropriate action, including suspending access to the Account.

Account Transfer

The User is obliged to ensure the safety of his credentials necessary to access the Account. Login and password are confidential information and are not subject to disclosure, except as required by applicable law and these Terms of use. The User is prohibited from distributing, using or knowingly obtaining information that allows access to another User's Account in any way.

Transfer of the Account and/or account data to third parties is not permitted.

The User is obliged to immediately notify the Company of the loss of his login and password for his Account or of other cases of loss of control over the Account.

Portal ‘Broken Sun’ authorization system

For the convenience of Users, the Company uses a single authorization system, which means that after the User creates an Account on the Portal ‘Broken Sun’, he will not need to create additional accounts or re-register in the Company’s Projects.

Use of in-game currency, in-game values

If desired, the User may purchase the currency offered in the Game (in-game currency) or other items that are in-game valuables that can be used by the User solely on the conditions specified below. All payments due for in-game currency and in-game valuables are non-refundable.

In-game currency and valuables, although they have a price at the time of purchase, have no monetary value and are not subject to monetary valuation, are not a means of payment or exchange and serve the sole purpose of being used in the Game by exchanging currency for in-game valuables and consuming and using in-game valuables. In-game currency cannot be exchanged for cash or other valuables, with the exception of in-game valuables in the normal course of gameplay, even if it has not been used by the User.

In-game currency and valuables are acquired by the User by paying the appropriate amount using one of the payment methods provided on the Portal ‘Broken Sun’. Crediting in-game currency or adding in-game value to the User's game account/account will be made as soon as possible, however, due to circumstances beyond the control of the Company, there may be delays in the provision of information about User payments by payment systems. The User hereby acknowledges and understands that the Company will not credit the game currency to the game account/account until it receives confirmation of receipt of the User's payment.

If game currency is not credited/in-game value is not added within 24 hours from the date of payment, the User must contact User Support – support@brokensun.com. The moment of crediting game currency/adding in-game value and the rights to use them in the game process using the methods provided is considered the moment it is reflected on the game account/in the User’s account.

The user can exchange in-game currency for in-game values available at a certain time. The purchase of in-game currency and the exchange of in-game currency for in-game valuables are made by the User at his own risk. The Company does not guarantee that (i) the desired in-game values will be available at the time the in-game currency is credited to the User's game account, (ii) the User will be able to use the in-game values for an indefinite or desired period, (iii) the User will be able to exchange the in-game currency for certain or any in-game values for an indefinite or desired period, (iv) the characteristics or intended use of in-game values will remain unchanged throughout the life of the Game or will correspond to the expectations or views of the User.

By purchasing in-game currency, as well as exchanging in-game currency for in-game values, the User understands that (i) access to the Game may be terminated in accordance with the terms of this Agreement, and/or (ii) the Game may cease to exist at any time for any reason, and this does not give the User any grounds to demand from the Company a return of fees paid for in-game currency or in-game valuables.

The User is prohibited from sublicensing, selling or attempting to sell in-game assets for real money or exchanging in-game assets for any value outside the Game. Any such transfer or attempted transfer is prohibited and void, and will result in termination of the User's access to the Game.

License limitation

The Company hereby grants the User a non-exclusive, revocable, non-transferable, non-sublicensable, limited license and right to use the Portal ‘Broken Sun’ for its intended purpose for personal, non-commercial purposes. The right to use the Portal ‘Broken Sun’ is provided to Users free of charge, provided that they fully comply with the provisions of these Terms of use.

The User may use the Portal ‘Broken Sun’ during the term of these Terms of use in the above manner throughout the world.

The user does not have the right:

(i) modify, adapt, decompile, disassemble or otherwise modify the Portal ‘Broken Sun’ and/or any components thereof and any intellectual property access to which is provided to the User in the course of using the Portal ‘Broken Sun’;

(ii) distribute for commercial purposes the Portal ‘Broken Sun’ and/or any of its components and any access to intellectual property to which access is provided to the User in the course of using the Portal ‘Broken Sun’, make copies or screenshots either through distribution on physical media or by providing them for downloading to third parties from the Internet;

(iii) translate the Portal ‘Broken Sun’ and/or any of its components into other languages or create other derivative works of the Portal ‘Broken Sun’ and/or any of its components;

(iv) attempt to circumvent any security measures implemented on the Portal ‘Broken Sun’ including IP blocking;

(v) use the Portal ‘Broken Sun’ in any other way not provided for in these Terms of use, the rules, or outside the normal process of use.

The User agrees and acknowledges that any and all rights not expressly granted under this Agreement are reserved by the Company and/or its partners (if applicable).

The intellectual property rights granted under these Terms of use are licensed but not sold and do not confer any right or title in the Portal ‘Broken Sun’.

A different procedure for using the Portal ‘Broken Sun’, Game and Projects available on the Portal ‘Broken Sun’, the content of the Website and other intellectual property, access to which is provided to the User during the use of the Portal ‘Broken Sun’, may be governed by separate agreements with the Company and/or the Company’s partners.

Rules of conduct for Users

By using the Portal ‘Broken Sun’, the User agrees to comply with the following mandatory rules.

While using the Portal ‘Broken Sun’, the User undertakes not to carry out the following actions:

(i) upload, transmit, publish or otherwise distribute files that contain viruses, Trojan horses, worms or any other harmful software or programs that may interfere with the operation of the computer or damage the property of other Users, or otherwise interfere with the smooth operation of the Broken Portal Sun;

(ii) use the Portal ‘Broken Sun’ to post or distribute any unsolicited advertisements, surveys, promotional materials, “junk mail,” “spam,” chain letters, “pyramid schemes,” or any other form of improper solicitation, duplication, or unsolicited messages (commercial or others);

(iii) create a false identity for the purpose of deceiving any other person;

(iv) violate any applicable laws or regulations, these Terms of use, rules, terms of use of the Game that determine the procedure for participation in the game process, interaction with a computer (PvE) or real players (PvP), which may be set for the Game on the page, dedicated to the Game Rules.

By posting any User Content in forums, chats or other virtual spaces intended for communication, the User agrees not to upload, transmit, publish or otherwise distribute Inappropriate Content, including:

(i) User Content that infringes any intellectual property rights, including any rights, licenses or consents under copyrights, patents, trademarks (together with all goodwill associated with such trademarks), service marks, base rights data and extraction rights, registered and unregistered industrial designs, circuit design rights and semiconductor topography rights, trade secrets, privacy rights, whether registered or not, applications and renewal rights in respect of any of the above and all other similar rights recognized in any part of the world;

(ii) erotic or pornographic User Content;

(iii) User Content that is offensive to any other person and/or harmful to third parties or public morals;

(iv) User Content that is unlawful, harmful, dangerous or obscene, or User Content that discriminates against others based on gender, race, nationality, religious belief, sexual orientation or other prohibited grounds;

(v) User Content that is of a commercial advertising nature or that solicits attention to any goods or services;

(vi) User Content that contains personal information or confidential data about any person, or otherwise violates the legal rights (such as rights of privacy and publicity) of any person.

The User undertakes not to use “bots” or other automated methods of collecting information about Users.

The User agrees not to harass, threaten, stalk or mislead other Users.

If the User makes any User Content available to other Users and/or the Company by uploading it to the Portal ‘Broken Sun’, the User grants the Company and its affiliates a non-exclusive, worldwide, perpetual, irrevocable, transferable, sublicensable, limited license to use such User Content in any legal manner. ways, in particular, for reproduction, distribution, transmission, transcoding, translation, broadcasting, public display, public performance, communication to the public, modification, creation of derivative works in relation to it. This license is deemed to be granted to the Company for the entire term of the intellectual property rights in such User Content once it is uploaded to the Portal ‘Broken Sun’ or from the time the Company otherwise acquires such rights, particularly from its affiliates.

The User hereby understands and acknowledges that all User Content posted by the User on the Portal ‘Broken Sun’ will likely be available for viewing and copying by third parties. The User is responsible for the User Content that he makes available on the Portal ‘Broken Sun’ or that he exchanges with other Users. The Company does not appropriate such User Content, and the Company does not review or approve it. The Company does not control the information posted by Users on the Portal ‘Broken Sun’. The Company does not review such User Content prior to its publication. If Company gains access to or Company is notified of any Inappropriate User Content, Company will endeavor to remove it immediately.

Responsibility for violation of the Terms of use

In case of any violation of these Terms of use, the Company has the right to apply the following types of sanctions to Users depending on the degree of violation committed by the User and its negative impact on the gameplay and other Users:

(i) issuing a warning in any form, including by email;

(ii) removal of any User Content that violates applicable law, these Terms of use and/or rules;

(iii) suspension of access to his Account(s) and/or the Portal ‘Broken Sun’ in full;

(iv) restricting the use of the Game, Company Projects and/or the Website in whole or in part.

The Company undertakes to make reasonable efforts to provide the User with an explanation regarding which terms of these Terms of use were violated by the User, as a result of which sanctions were applied by the Company. The Company declines the obligation to provide the User with documentary evidence of the violation.

The Company has the right to prohibit the User from registering new Accounts if the User violates these Terms of use. If the Company discovers that the User has multiple Accounts, the Company reserves the right to apply the above sanctions to all Accounts of such User.

With respect to a specific part of the Portal ‘Broken Sun’, the Company reserves the right to use available communication channels with Users to provide clarifications and clarify the list of sanctions that the Company has the right to apply to the User, depending on the severity of the violation committed by the User and its negative impact on other Users.

DISCLAIMER OF WARRANTY

UNLESS OTHERWISE EXPRESSLY PROVIDED IN A SPECIFIC WRITTEN AGREEMENT GOVERNING THE USE OF THE GAME, THE PORTAL ‘BROKEN SUN’ AND/OR THE COMPANY’S PROJECTS ARE PROVIDED ON AN “AS IS” BASIS. AS A RESULT, USERS ACKNOWLEDGE THAT THE PORTAL ‘BROKEN SUN’ MAY NOT MEET THEIR INDIVIDUAL PREFERENCES AND EXPECTATIONS.

THE COMPANY WILL MAKE ALL COMMERCIALLY REASONABLE EFFORTS TO ENSURE THE CONTINUOUS OPERATION OF THE PORTAL ‘BROKEN SUN’ AND USERS ACCORDINGLY AGREE THAT THE PORTAL ‘BROKEN SUN’ MAY CONTAIN ERRORS AND MAY BE INTERRUPTED. THE COMPANY HAS THE RIGHT (AND THIS IS AN ESSENTIAL CONDITION OF USERS' USE OF THE PORTAL ‘BROKEN SUN’) TO SUSPEND OR TERMINATE USE THE PORTAL ‘BROKEN SUN’ AND/OR ACCESS TO THE PORTAL ‘BROKEN SUN’, OR ANY PART THEREOF, FOR ALL OR SOME USERS AT ANY TIME MY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ANY WARRANTIES, EXPRESS OR IMPLIED, AS TO THE ACCURACY, CURRENTNESS, SECURITY, VIRUS-FREE, ERRORS-FREE, LEGALITY AND/OR RELIABILITY OF THE INFORMATION, DATA, MATERIALS AND COMPANY’S PROJECTS PROVIDED BY THE COMPANY, ITS PARTNERS OR OTHERS BY USERS. THE COMPANY DOES NOT GUARANTEE THAT THE PERFORMANCE OF USERS' PERSONAL COMPUTERS OR OTHER DEVICES WILL BE SUFFICIENT FOR USE OF THE PORTAL ‘BROKEN SUN’.

USERS ARE ADVISED TO DETERMINE IN ADVANCE THE COMPUTER SYSTEM REQUIREMENTS FOR THE GAME AND/OR THE COMPANY'S PROJECTS AND DETERMINE IF THEIR COMPUTER SYSTEM MEETS THESE REQUIREMENTS.

Limits of liability

If the user resides in the European Union or the European Economic Area, the following applies to such user: The Company undertakes to use the care and caution normally used in the field of business to ensure the implementation of the services provided to Users. In the event that the Company is liable, it can obtain relief from part or all of its liability by proving that the failure to perform or improper performance of the contract was caused by the User, unforeseen and irresistible actions of a third party or an event of force majeure.

If the User resides outside the European Union or the European Economic Area, then the following provision applies to such User: To the maximum extent permitted by applicable law, the Company shall not be liable for direct or indirect damages, loss of profits, or damages arising from loss and /or destruction of data, losses resulting from the loss/termination/suspension of access to User Accounts, loss by the User of achievements or progress in the Game, as well as loss/destruction/change of information posted by the User on forums or in chats. In any case, the Company's liability to the User will be limited to compensation for actual damages, which will not exceed 100 Euros. The user cannot receive compensation for lost profits under any circumstances. The Company is not responsible for any direct or indirect losses, lost profits, as well as losses of Users or third parties caused by:

(i) use or inability to use the Portal ‘Broken Sun’, Game, Website and/or Company’s Projects;

(ii) unauthorized access by third parties to the User’s personal information, including, but not limited to, the User’s Account; and also

(iii) statements or conduct of any third party in the game, in-game forums or chats, or in comments on the Website.

The Company shall not be liable for any delay in performance or failure to perform caused by causes beyond the reasonable control of the Company, including, without limitation, any failure to perform under these Terms of use due to unforeseen circumstances or causes beyond the control of the Company, such as acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, network infrastructure failures, strikes or shortages of transportation, fuel, energy, labor or materials.

If the limitation or exclusion of liability is prohibited by applicable law, the Company's liability shall be limited to the maximum extent permitted.

Security of data, information and health

The Company's personal data protection rules are described in detail in the Privacy Policy.

The company cares about the protection of personal data. Personal data collected by the Company in the context of this document is subject to automated processing in accordance with current legislation. All information collected as part of the provision of services is recorded by the Company, which is the data controller. This is very important for the functioning of the services offered by the Company.

Information provided by the User in any way must be accurate. Although the Company makes every effort to ensure the confidentiality of data and has implemented appropriate technical and organizational measures to ensure and demonstrate that the processing is carried out in accordance with data protection regulations, the User understands that no security measures are perfect and such measures can be circumvented.

User understands and acknowledges that even after data and User Content provided by User are deleted, such data or User Content may remain available in cache or web archives and in search engine search results, and may also be available to others if others Users have copied and stored User Data or User Content.

The Company cannot control the actions of other Users with whom the User wants to share his account data (login and password). Therefore, the Company cannot guarantee that any User Content that the User posts on the Portal ‘Broken Sun’ will not be viewable by unauthorized persons.

The Company is not responsible for any workarounds undertaken on the Portal ‘Broken Sun’ to circumvent security measures.

The User hereby confirms that he/she understands, accepts and agrees that any Game may contain audio and/or video effects that, under certain circumstances, may cause people prone to epileptic or other disorders of the central nervous system to worsen such conditions.

The User understands and agrees that constant use of a personal computer for a long period of time can lead to various complications of the physical condition, including, but not limited to, vision problems, scoliosis, various forms of neuroses, as well as other undesirable and negative consequences for the User's body.

The User hereby warrants that he will use the Game only for a reasonable period of time with rest breaks and that the User will take other measures prescribed by his doctor to protect his health.

Users must observe the following precautions:

(i) Avoid playing if you are tired or sleep-deprived;

(ii) Play at a large distance from the screen;

(iii) Play in a lit room and dim the screen brightness;

(iv) Take breaks of ten (10) to fifteen (15) minutes every hour.

Final provisions

Concession

If such assignment does not lead to a reduction in the rights of the User, the Company has the right, at its sole discretion, at any time to assign and/or delegate its rights and obligations under these Terms of use or any part thereof to a third party upon the transfer or sale of all or substantially all of its business to which applies to these Terms of use, whether by merger, sale of shares, sale of assets or otherwise. In this case, the Company undertakes to notify Users by email and/or publish the amended Terms of use. The rights and obligations of the User arising from these Terms of use are considered transferred to the legal successor of the Company at the time of the above notification and/or publication.

The rights and obligations of the User under this Agreement are personal and non-transferable.

Updates and changes to the Agreement

The Company has the right at any time, at its sole discretion, to change any functionality and content of the Portal ‘Broken Sun’.

In the event that this entails a reduction in the rights of the User, the Company will notify Users of such change, in which case the notified User has the right to cease using his Account on the Portal ‘Broken Sun’ and terminate these Terms of use. In order to improve its services, the Company reserves the right to automatically (without separately requesting the User's consent) make technical updates and make changes to the Portal ‘Broken Sun’ or any of its components. In order to ensure the effectiveness of these updates and changes and to enhance the use of the Portal ‘Broken Sun’, the User hereby agrees to the implementation of automatic updates and changes.

Duration, suspension and termination of the Agreement

The term of these Terms of use begins on the date on which the User first agrees to these Terms of use and will remain in effect until terminated in accordance with these Terms of use.

In particular, without limitation, the Company has the right to terminate these Terms of use for the User if the User violates any provision of applicable law or violates these Terms of use and/or the Special Rules, or if the User does not use his Portal ‘Broken Sun’ Account in for 12 (twelve) months or more.

Both the Company and the User have the right to terminate these Terms of use at any time with immediate effect.

The User has the right at any time, without notice to the Company and without giving reasons, to terminate the use of his Account on the Portal ‘Broken Sun’. To do this, the User can send his request to technical support at: support@brokensun.com.

The Company has the right to terminate these Terms of use with the User if the User violates these Terms of use, in which case no refund of any funds will be made.

The Company reserves the right at any time, with reasonable notice to Users, to suspend access to and availability of the Portal ‘Broken Sun’ or any of its components, particularly, but not exclusively, if the Company ceases to provide the Portal ‘Broken Sun’ services.

These Terms of use may be changed by the Company at any time. Any change to these Terms of use must be brought to the attention of Users. The User undertakes to independently check these Terms of use for changes. In case of disagreement, the User has the right to stop using his Account on the Portal ‘Broken Sun’.

In the event of termination of these Terms of use, Articles 6, 7, 8 and 10 shall remain in effect.

Applicable Law and Dispute Resolution Procedure

Unless otherwise expressly provided by applicable law, these Terms of use is governed by and construed in accordance with the applicable laws of the Russian Federation. All disputes arising in connection with these Terms of use are subject to mandatory pre-trial settlement by the Company and the User through the support service as specified in these Terms of use, or the User can send a letter with a claim to the following address: 11, Derbenevskaya embankment, room 13/7 Moscow, 115114.

If it is impossible to reach an agreement during the pre-trial settlement of the dispute, it must be submitted for final settlement to a court having appropriate jurisdiction and jurisdiction in the location of the Company, unless otherwise expressly provided by applicable law.

Severability of the provisions of the Agreement

The invalidity of one or more provisions of these Terms of use in accordance with a court order does not entail the invalidity of the remaining provisions of these Terms of use, which continue to be valid and in full force and effect.
